Master Client Services Agreement

1.1 Services: Studio agrees to provide AI-native software engineering, agentic workflow automation, systems architecture, and related digital development services (the "Services") as detailed in one or more Statements of Work ("SOW") executed under this Agreement.

1.2 Statement of Work Execution: Each SOW shall specify the deliverables ("Deliverables"), project milestones, payment schedules, and technical requirements. In the event of any conflict between the main body of this Agreement and an SOW, the terms of this Agreement shall prevail unless explicitly stated otherwise in the SOW.

1.3 Agile & AI-Driven Methodology: Client acknowledges that Studio employs intent-driven software architectures, autonomous coding agents, and rapid iterative development workflows. Studio retains full discretion regarding the specific tools, models, frameworks, and engineering methodologies utilised to fulfil the SOW deliverables.

2.1 Investment Tiers & Schedules: Client agrees to pay Studio the fees specified in the applicable SOW. Standard tier pricing structures and repayment mechanisms operate under the following terms:

2.2 10-Month Instalment Mechanics: Where Client selects a 10-Month Instalment Plan, the first instalment is due upon contract execution prior to project commencement. The remaining nine (9) instalments shall be automatically billed on the same calendar day of each subsequent month.

2.3 Referral Discount Application: Qualified referral discounts (20%) are valid only when verified prior to SOW execution. The discount is applied proportionally across all 10 monthly instalments or credited against full upfront payments.

2.4 Taxes: All stated fees are exclusive of Value Added Tax (VAT) and local taxes, which shall be added to invoices at the prevailing statutory rate where applicable.
